1. Introduction and Acceptance These Terms and Conditions ("Terms") govern access to and use of the website GSESUPPLIERS.COM (the "Site", "we", "us", or "our"), operated as a global online directory and marketplace connecting Ground Support Equipment ("GSE") manufacturers ("Manufacturers", "Sellers") with international buyers, procurement teams, ground handlers, airlines, airports, and cargo operators ("Buyers", "Users").
By accessing, browsing, registering on, or otherwise using the site, you agree to be bound by these terms. If you do not agree to these terms, you must not use the site. If you are using the site on behalf of a company or organisation, you confirm that you have the authority to bind that entity to these terms.
2. Description of Service GSESUPPLIERS.COM provides an online directory and marketplace platform enabling manufacturers to create company and product profiles, upload images and specifications, publish product descriptions, and list direct contact details so that buyers can reach them; and buyers to search, filter, browse, and compare manufacturer listings by equipment type, category, or region, and to contact manufacturers directly.
GSESUPPLIERS.COM is a listing and introduction platform only. We do not manufacture, sell, own, inspect, warehouse, ship, or take title to any GSE products listed on the site, and we are not a party to any transaction, contract, negotiation, or sale that takes place between a buyer and a manufacturer.
3. Eligibility and Account Registration 3.1 To create a manufacturer listing, publish content, or make a payment on the site, you must register for an account and provide accurate, current, and complete information about yourself and your business. 3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. 3.3 You must be legally authorised to enter into binding contracts and to represent the company or organisation on whose behalf you are registering. 3.4 We reserve the right to refuse registration, suspend, or terminate any account at our discretion, including where information provided is inaccurate, misleading, or where these terms are breached.
4. Manufacturer Listings 4.1 Buyer access to browse the directory, search listings, and contact manufacturers is free of charge. 4.2 Manufacturers are solely responsible for the accuracy, completeness, and legality of all content they upload, including product images, specifications, descriptions, pricing indications, certifications, and contact details. GSESUPPLIERS.COM does not verify, endorse, or guarantee the accuracy of any manufacturer's listing or the quality, safety, compliance, or fitness for purpose of any product advertised. 4.3 Manufacturers must not upload content that is false, misleading, infringing, unlawful, or that misrepresents their products, certifications, or business. 4.4 We reserve the right to edit, reject, remove, or suspend any listing that we reasonably believe breaches these terms, applicable law, or is otherwise inappropriate for the site, without obligation to issue a refund except as set out in Section 6 (Refunds).
5. Fees and Payment 5.1 Who pays. Access to the directory for buyers is free. Manufacturers pay a fee to publish and maintain a listing on the site ("Subscription Fee"). 5.2 Billing cycle. The Subscription Fee is charged on an annual basis and automatically renews for successive twelve (12) month periods unless cancelled by the manufacturer in accordance with Section 5.5, or terminated by us in accordance with these Terms. 5.3 Payment processing. All payments are processed through our appointed third-party payment processor. By submitting payment details, you authorise us (via our payment processor) to charge the applicable Subscription Fee, and any applicable renewal, to your chosen payment method. We do not store full card details; these are handled securely by our payment processor in accordance with applicable payment card industry standards. 5.4 Taxes and currency. Fees are stated exclusive of applicable taxes (including VAT or equivalent sales taxes) unless otherwise indicated, and such taxes will be added at checkout where applicable. Fees are payable in the currency displayed at the point of purchase. 5.5 Cancellation of auto-renewal. Manufacturers may cancel automatic renewal at any time via their account settings or by contacting us. Cancellation will take effect at the end of the then-current annual subscription period; no partial-period refund is issued for cancellation alone (see Section 6 for refund eligibility). 5.6 Failed or late payment. If a renewal payment fails, we may suspend or remove the relevant listing until payment is successfully made.
6. Refund Policy 6.1 Manufacturers may request a refund of their annual Subscription Fee within fourteen (14) days of the date of payment, provided that the listing has not yet gone live/been published on the Site. 6.2 Once a listing has gone live and been published on the Site, the Subscription Fee for that annual period becomes non-refundable, except where required by applicable consumer protection law or where we are unable to provide the service due to our own fault. 6.3 Refund requests must be submitted in writing to our support contact detailed in Section 15. Approved refunds will be issued to the original payment method within a reasonable time, typically within 14 business days. 6.4 This refund policy does not affect any statutory rights you may have under applicable consumer protection legislation, which are not excluded by these Terms.
7. Buyer Use of the Site 7.1 Buyers use the Site to identify and directly contact manufacturers. Any resulting communication, negotiation, quotation, contract, purchase, delivery, or dispute is strictly between the buyer and the manufacturer. 7.2 GSESUPPLIERS.COM is not a broker, agent, distributor, or reseller for any manufacturer or product, does not participate in or guarantee any transaction, and accepts no liability for the outcome of any dealings between buyers and manufacturers, including but not limited to product quality, delivery, payment disputes, warranty claims, or after-sales service. 7.3 Buyers are strongly encouraged to conduct their own due diligence, including verifying certifications, licences, references, and product suitability, before entering into any transaction with a manufacturer found via the site.
8. Prohibited Uses You must not use the site to: upload false, fraudulent, defamatory, or infringing content; impersonate any person or entity, or misrepresent your affiliation with any person or entity; circumvent, disable, or interfere with the security or proper functioning of the site; harvest, scrape, or extract data from the site other than through features we make available for that purpose; or use the site for any unlawful purpose or in breach of any applicable export control, sanctions, or trade regulation.
9. Intellectual Property 9.1 The site, including its design, layout, logos, trademarks, and underlying software, is owned by or licensed to GSESUPPLIERS.COM and is protected by intellectual property laws. Nothing in these terms grants you any right or licence to use our branding except as expressly permitted. 9.2 By uploading content (including images, descriptions, and specifications), manufacturers grant GSESUPPLIERS.COM a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute that content on the site and in related promotional materials, for the purpose of operating and marketing the Site. 9.3 Manufacturers warrant that they own or have all necessary rights to the content they upload and that such content does not infringe any third party's intellectual property or other rights.
10. Disclaimers 10.1 The site and all listings are provided "as is" and "as available". We make no warranty, express or implied, as to the accuracy, completeness, reliability, or availability of the Site, or the quality, safety, legality, or fitness for purpose of any product listed. 10.2 We do not guarantee that use of the Site will result in any sale, purchase, enquiry, or business outcome for any manufacturer or buyer.
11. Limitation of Liability 11.1 To the maximum extent permitted by applicable law, GSESUPPLIERS.COM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, contracts, or goodwill, arising out of or in connection with your use of the site, any listing, or any transaction between a buyer and a manufacturer. 11.2 Our total aggregate liability to any user for any claim arising out of or relating to these terms or the site shall not exceed the total Subscription Fees paid by that User to GSESUPPLIERS.COM in the twelve (12) months preceding the event giving rise to the claim. 11.3 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or fraud.
12. Indemnification You agree to indemnify and hold GSESUPPLIERS.COM, its officers, employees, and agents harmless from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these terms, your listing content, or any transaction or dispute with another User.
13. Termination We may suspend or terminate a user's account and/or listing, with or without notice, if we reasonably believe these terms have been breached, if required by law, or to protect the integrity and reputation of the site. Sections relating to fees already incurred, intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
14. Changes to These Terms We may update these terms from time to time to reflect changes in our services, legal requirements, or business practices. Material changes will be notified to registered manufacturers by email or via a notice on the site. Continued use of the site after changes take effect constitutes acceptance of the revised terms.
15. Governing Law and Jurisdiction 15.1 GSESUPPLIERS.COM operates as an international platform serving manufacturers and buyers worldwide. These terms, and any dispute or claim arising out of or in connection with them or the Site, are governed by the laws of England and Wales. 15.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms, save that we may bring proceedings against a user in the courts of that user's own country where necessary to enforce payment or protect our intellectual property.
16. Privacy Our collection and use of personal data in connection with the site is described in our separate privacy policy, which forms part of these terms by reference.
